Public Offer Agreement
Version of 26 June 2026.
This agreement is the Seller's official public offer to conclude a contract for the sale of the Goods presented on www.arxesolutions.com. Under Article 633 of the Civil Code of Ukraine the offer is public — its terms are identical for all buyers regardless of status (individual, legal entity or sole proprietor). By clicking "Place order" on the checkout page in the "Cart" section and receiving the Seller's electronic order confirmation, the Buyer fully accepts the terms of this Agreement: the order, payment, delivery and returns procedures and all other conditions.
1. Definitions
- Public offer (the "Offer") — the Seller's public proposal addressed to an indefinite circle of persons to conclude a distance sale contract (the "Agreement") on the terms of this Offer.
- Goods — radio-electronic equipment, antennas, filters, SDR devices, components, accessories and other items selected by the Buyer on the online store and placed in the cart, or already purchased remotely.
- Online store — the Seller's website at www.arxesolutions.com, created to conclude retail and wholesale sale contracts based on the Buyer's review of the Goods description over the Internet.
- Buyer — a legally capable individual aged 18+, a legal entity or a sole proprietor placing an order to buy the Goods.
- Seller — ARXE SOLUTIONS LLC (registration code 45823624), a legal entity established and operating under the laws of Ukraine, located at: 76a Rivnenska St., Lutsk, Volyn region, 43020, Ukraine.
2. Subject of the Agreement
The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods on the terms of this Agreement.
The Agreement is deemed concluded (offer accepted) on the date the Buyer completes the order form on the website, provided the Seller sends an electronic order confirmation.
3. Placing an order
The Buyer places the order via the "Cart" form and undertakes to provide:
- the Buyer's surname and first name;
- a contact phone number and email;
- the delivery address (branch/parcel locker or courier address);
- the registration code for a legal entity or sole proprietor (if any).
The name, quantity, article and price of the chosen Goods are shown in the Buyer's cart. The Seller may refuse to hand over the order if the data provided is incomplete or doubtful. The Buyer is responsible for the accuracy of the information provided.
By concluding the Agreement, the Buyer confirms acceptance of this Offer and consents to the collection, processing and transfer of personal data to fulfil the Agreement.
4. Price, payment and delivery
Prices are shown on the website in UAH including VAT and may be changed by the Seller unilaterally; the price of fully paid Goods is not subject to change.
Payment is made in full by bank transfer against an invoice issued by the Seller's manager after the order is placed. Instalments, cash on delivery and deferred payment are not provided. The Buyer's payment obligation is fulfilled when funds reach the Seller's account.
Delivery is carried out exclusively by Nova Poshta LLC. Delivery cost is not included in the price of the Goods and is paid by the Buyer at the carrier's rates. On receipt the Buyer checks the Goods for quantity, quality and completeness. Title and risk of accidental loss or damage pass to the Buyer upon receipt of the Goods.
5. Rights and obligations
- The Seller must deliver the Goods in accordance with the order and not disclose the Buyer's private information except as required by law.
- The Seller may change the terms of this Agreement and prices unilaterally by publishing the changes on the website.
- The Buyer must review the Agreement before ordering and provide accurate information for the order and delivery.
6. Returns
The Buyer may return Goods of proper quality within 14 days if they were not used and their presentable condition is preserved. Return shipping is at the Buyer's expense. Funds are returned within 30 calendar days after the Seller receives the returned Goods.
If defects are found within the warranty period, the Buyer is entitled to free remedy under the law. The Seller is not liable for defects arising from improper use of the Goods.
7. Liability
The Seller is not liable for damage caused by improper installation or use of the Goods. The parties' liability is determined by the laws of Ukraine. The parties are released from liability in cases of force majeure (war, natural disasters, etc.).
8. Confidentiality and personal data
The Buyer consents to the processing of personal data under applicable law. The Seller undertakes not to disclose information except as provided by law.
9. Other terms
The Agreement is concluded and operates in Ukraine under Ukrainian law. Disputes are resolved through negotiation and, failing that, in court. The Seller may change the terms of the Agreement by publishing the changes on the website.
10. Order confirmation and communication
After placing the order the Buyer receives an email confirmation. The Seller's manager contacts the Buyer by phone to clarify order details and issue an invoice.
